Terms of Service

These Terms of Service ("Terms") govern access to and use of Clara for Choirs (the "Service"), a virtual accompanist consisting of an iPad application and web platform, operated by Music Integration Services Ltd ("we", "us", "our"), a company registered in England and Wales (number 16476021).

Clara is currently available to institutions (schools, churches, community organisations and similar bodies) through pilot programmes. By using the Service, the authorised representative of the institution agrees to these Terms on behalf of the organisation.

1. Description of the Service

Clara provides interactive sheet music and intelligent playback to support choral rehearsal and practice. During the pilot phase, we supply all musical content. The Service is delivered via iPad app and web. Features may evolve during testing.

2. Eligibility

Only institutions may participate in current pilots. The institution is responsible for ensuring that any individuals it authorises to use Clara (teachers, directors, staff, volunteers) comply with these Terms.

3. Payments

Most pilot fees are invoiced directly to the institution. In some cases, subscriptions may be processed via Stripe. We do not store full card details. Invoices are due as stated. The institution may cancel future pilots by written notice; fees already paid are generally non-refundable except where required by law.

4. Licence

We grant the participating institution a limited, non-exclusive, non-transferable licence to use Clara during the agreed pilot period for its internal choral activities. The institution may not resell, sublicense, or allow use by any third party outside the organisation. Reverse engineering is prohibited except to the extent permitted by law.

5. Content and materials

During the pilot phase, Clara supplies all sheet music, rehearsal tracks, and related materials. Institutions and their authorised users do not upload their own musical content. All materials remain our property or are licensed to us. Users may not copy, redistribute, or commercially exploit the provided content.

6. Acceptable use

The institution and its authorised users must use Clara only for legitimate choral rehearsal and educational purposes within the organisation. They must not attempt to access other organisations’ data, interfere with the service, or use it for any unlawful activity.

7. Intellectual property

Clara, the software, design, and all provided musical content and materials are owned by Music Integration Services Ltd or its licensors. The institution retains ownership of any original material it creates using the Service (for example, annotations or rehearsal notes), subject to our licence in the content we supplied.

8. Disclaimers

Clara is provided “as is” during the pilot phase. We do not guarantee that playback will be flawless or suitable for every pedagogical situation. The Service is a tool to support skilled musical leadership, not a replacement for it. We make no warranties regarding uninterrupted availability.

9. Limitation of liability

To the extent permitted by law, our total liability arising from any pilot shall not exceed the total fees paid by the institution for that pilot in the preceding twelve months. We are not liable for indirect or consequential losses. Nothing in these Terms excludes liability for death, personal injury caused by negligence, or fraud.

10. Termination

We may suspend or end a pilot if the institution breaches these Terms or fails to pay. Either party may end the pilot at the end of the agreed period. Upon termination, access ceases. Surviving clauses include IP, disclaimers, liability limits, and governing law.

11. Changes

We may update the Service and these Terms during the pilot phase. Material changes will be notified to the participating institution. Continued use constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer or local law provides otherwise for the institution.
